1. Acceptance of Terms

By accessing or using DrivePay's payment infrastructure platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

DrivePay provides payment infrastructure for fuel card companies to facilitate instant driver payouts to trucking companies and their drivers. The Service includes API access, payment processing, and related features.

3. Eligibility

You must be:

• A registered business entity
• Authorized to enter into binding contracts
• In compliance with all applicable laws and regulations

4. Account Registration

To use the Service, you must:

• Provide accurate and complete information
• Maintain the security of your API keys
• Notify us immediately of any unauthorized access
• Be responsible for all activity under your account

5. Fees and Payment

5.1 Pricing

• Virtual Visa cards: $2 per transaction (you earn $1, DrivePay earns $1)
• Instant payouts (Venmo/PayPal): 4% pass-through fee (no DrivePay markup)

5.2 Prepaid Model

Your customers (trucking companies) must fund their accounts before making payments. You are not responsible for funding driver payouts—only for maintaining your revenue share.

5.3 Payment Processing

All payments are processed through our third-party payment provider. We are not liable for delays or failures caused by the payment provider.

6. Use Restrictions

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to circumvent security measures
• Reverse engineer or decompile the Service
• Use the Service to process fraudulent transactions
• Share your API keys with unauthorized parties

7. Data and Privacy

Your use of the Service is subject to our Privacy Policy. You are responsible for complying with all applicable data protection laws regarding your customers' data.

8. Intellectual Property

DrivePay retains all rights to the Service, including all intellectual property rights. You receive a limited, non-exclusive license to use the Service in accordance with these Terms.

9. Service Level Agreement (SLA)

We strive to maintain 99.9% uptime for our API. In the event of extended downtime, we will provide service credits as outlined in our SLA addendum (available upon request).

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRIVEPAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

11. Indemnification

You agree to indemnify and hold harmless DrivePay from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your violation of any law or regulation
• Your use of the Service
• Disputes between you and your customers

12. Termination

We may suspend or terminate your access to the Service:

• For violation of these Terms
• For suspected fraudulent activity
• At our discretion with 30 days notice

You may terminate your account at any time by contacting us.

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email. Continued use of the Service after changes constitutes acceptance.

14. Dispute Resolution

Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Governing Law

These Terms are governed by the laws of [Your State/Country], without regard to conflict of law principles.
